12.1.\x05If any provision of this Agreement is or becomes illegal,invalid or unenforceable in any respect under the law of any jurisdiction,that will not affect or impair the legality ,validity or enforceability in that jurisdiction of any other provision of this Agreement.If any illegal,invalid or unenforceable provision would be valid,enforceable or legal if some part of it were deleted,the provision will apply with the minimum modification necessary to give effect to the intention of the Parties.
12.2.\x05No waiver,indulgence or consent to depart from,or violation of any provision of this Agreement,by either the Client or the Provider,will be construed as a waiver of any other rights or obligations of either the Client or the Provider.
12.3.\x05Neither Party will assign or transfer this Agreement without the prior written consent of the other Party,it being understood that such consent to assignment will not be unreasonably withheld.However,the Provider is hereby expressly allowed to assign or transfer all or part of this Agreement to any Affiliate.
12.4.\x05This Agreement and attached Schedules and Attachments contain the entire agreement between the Parties and no representation,inducement,promises or agreement not included herein will be of any force or effect.
12.5.\x05No change,amendment or modification of this Agreement will be binding on the Parties unless such change,amendment or modification has been made in writing and duly executed by both Parties.
12.6.\x05This Agreement is executed in the following languages:English and [other language].In the event of conflict between the English and [other language] versions of the Agreement,the English version will prevail unless otherwise required by law.
